Form 1065 Schedule B questions and what each one triggers

Form 1065 Schedule B is the Other Information section of the partnership return, with questions on ownership, foreign activity, elections and filing exceptions. Several answers trigger another schedule or form, such as Schedule B-1 for 50% owners or Form 8990, and a Yes on question 4 removes Schedules L, M-1 and M-2.

What is Form 1065 Schedule B?

Schedule B, Other Information, runs across pages 2 to 4 of Form 1065 (2025) and holds questions numbered 1 through 33, then the partnership representative designation. Question 1 identifies the entity type. Questions 2 and 3 cover ownership of the partnership and by the partnership. Question 4 is the small partnership test, questions 10a to 10d cover section 754 and basis adjustments, and many of questions 13 to 29 cover foreign and international reporting. Question 33 is the election out of the centralized partnership audit regime.

Ownership questions use constructive ownership rules. For questions 2 and 3, the 2025 Instructions for Form 1065 apply section 267(c), other than section 267(c)(3), and measure the maximum percentage owned in profit, loss or capital at the end of the tax year. An interest owned through a corporation, partnership, estate or trust is treated as owned proportionately by its owners, and family attribution applies only to an individual who also owns an interest directly or through an entity.

Which Schedule B answers trigger another schedule or form?

A Yes answer on Schedule B usually means something else has to be attached, filed or entered. The table maps each trigger to what the 2025 Form 1065 and its instructions require. A No answer on question 33 also has a consequence: the partnership must complete the designation of partnership representative at the end of Schedule B.

Questions 15 and 17 work like question 13a: the partnership enters the number of Forms 8865 and Forms 5471 attached. Question 16a asks whether the partnership made payments in 2025 that require Forms 1099, and question 16b asks whether it filed them. Question 30 must be answered Yes or No. The instructions treat receiving, selling or exchanging a digital asset as a Yes, while holding one, or moving it between wallets the partnership owns, generally doesn't require a Yes.

How does Schedule B question 4 relate to Schedule M-3?

Question 4 lets a small partnership skip Schedules L, M-1 and M-2, item F on page 1 and item L on every Schedule K-1. Form 1065 (2025) lists four conditions, all required: total receipts under $250,000, total assets at year end under $1 million, Schedules K-1 filed with the return and furnished to partners by the due date including extensions, and no Schedule M-3 filing or requirement. The instructions define total receipts as page 1, line 1a and lines 4 through 7, Schedule K lines 3a, 5, 6a and 7, income or net gain on Schedule K lines 8, 9a, 10 and 11, and Form 8825 lines 2, 21 and 22a.

Under Item J of the 2025 instructions, Schedule M-3 replaces Schedule M-1 when total assets on Schedule L, line 14, column (d) are $10 million or more, adjusted total assets are $10 million or more, total receipts are $35 million or more, or a reportable entity partner owns 50% or more on any day of the year.

What does a question 4 total receipts test look like?

For example, a partnership reports $180,000 of gross receipts on page 1, line 1a and year-end total assets of $900,000. It files and furnishes every K-1 on time and isn't an M-3 filer. Gross receipts alone are under $250,000, but total receipts under the question 4 definition also pick up other page 1 income, portfolio income, capital gains and rents. Each amount below comes from a line the instructions list in the definition.

ItemForm lineAmount
Gross receiptsPage 1, 1a$180,000
Other page 1 incomePage 1, 4 to 7$6,000
Interest incomeSchedule K, 5$3,000
Ordinary dividendsSchedule K, 6a$2,000
Net long-term capital gainSchedule K, 9a$40,000
Gross rentsForm 8825$30,000
Total receiptsSchedule B, 4a$261,000

Total receipts of $261,000 fail the under-$250,000 condition, so question 4 is No. The partnership has to complete Schedules L, M-1 and M-2, item F and item L on each K-1, even though page 1 sales looked small. The Schedule L and M-2 page covers those tie-outs.

Common miss: testing question 4 on line 1a only
Gross receipts on line 1a are only one part of total receipts. Rents from Form 8825 and gains on Schedule K count too, so a rental or investment partnership can fail the $250,000 condition with no page 1 sales at all.

What do Schedule B questions 10a to 10d ask about section 754?

Questions 10a to 10d on Schedule B track the section 754 election and every basis adjustment made for the year. Question 10a asks whether the partnership is making, or has made and not revoked, a section 754 election, and asks for the effective date. Questions 10b and 10c ask whether the partnership made a section 743(b) or a section 734(b) adjustment for the year, with the total aggregate net positive and net negative amounts and a statement showing the computation and allocation of each adjustment.

Question 10d covers adjustments the partnership must make with or without an election: a 743(b) reduction for a substantial built-in loss under section 743(d), or a 734(b) reduction for a substantial basis reduction under section 734(d), each measured against a $250,000 threshold. The aggregate amount goes in as a positive number. The 743(b) statement names the transferee and the properties the adjustment went to. See the section 754 election page for the calculation.

What do reviewers check on Form 1065 Schedule B?

A reviewer checking Schedule B confirms six items, each tied to the 2025 Form 1065 or its instructions. The first document to pull is the year-end ownership chart, with each partner's profit, loss and capital percentages, because questions 2, 3, 14 and 33 all depend on who the partners are.

The other documents are last year's Schedule B, which shows whether a section 754 election is already in force and whether the partnership elected out of the centralized audit regime, and the full list of K-1s issued, including any K-1s issued by an S corporation partner, which count toward the 100-partner limit for question 33. Foreign bank, trust and entity questions need the client's answers in writing, since the partnership's books may not show them.

Common questions

Who has to attach Schedule B-1 to Form 1065?

A partnership attaches Schedule B-1 when it answers Yes to Schedule B question 2a or 2b. That happens when an entity, foreign government, individual or estate owns, directly or indirectly, 50% or more of the partnership's profit, loss or capital at year end, measured with the constructive ownership rules of section 267(c), other than section 267(c)(3).

What does a Yes to Schedule B question 4 remove from Form 1065?

A Yes to Schedule B question 4 removes Schedules L, M-1 and M-2, item F (total assets) on page 1, and item L (the partner's capital account analysis) on each Schedule K-1. The partnership still completes Schedule K and the rest of each K-1. Question 4 is No for any partnership that files or is required to file Schedule M-3.

Can any partnership elect out of the centralized audit regime on question 33?

Only an eligible partnership can elect out on Schedule B question 33. It must have 100 or fewer eligible partners for the year, counting K-1s issued by S corporation partners, and no partners such as partnerships, trusts, disregarded entities or nominees. The election is made only on a timely filed return, including extensions, with Schedule B-2 attached.
